Parties & Purpose
This Agency Partnership Agreement (the “Agreement”) is entered into between Fuvio (the “Platform”, “we”, “us”) and the applicant identified in the signature block below (the “Agency”, “you”). By signing, you apply to operate a verified talent agency on Fuvio — recruiting, supporting, and managing live-streaming creators (“Hosts”) within your agency network. This Agreement governs the commercial and conduct relationship between the Agency and Fuvio and takes effect on the date of your electronic signature.

Host Commission
Hosts earn up to 70% of the value of the gifts and paid calls they receive — Fuvio's unified host commission — credited directly to the host as Vios. A host's commission is identical whether the host streams independently (solo) or as a member of an agency. Joining an agency never reduces a host's earnings. The host's share is always paid to the host in full; the agency is rewarded entirely separately (see Section 3).

Agency Bonus — How the Agency Earns
The Agency earns a tiered monthly bonus based on the total verified gifting volume (“Vio-Gems”) generated by its team over a rolling 30-day period:

This bonus is funded entirely by the Platform as an EXTRA on top of host earnings. It is never deducted from any host's commission. Hosts always keep their full share; the agency bonus is the Platform's reward to the agency for growing and supporting its team.

Sub-Agency & Override
An Agency may create and manage sub-agencies within its network. Each sub-agency earns its own standard tier bonus, and the parent agency receives an additional override bonus on its sub-agencies' verified volume. Like the agency bonus, the override is Platform-funded and is never taken from a sub-agency's or host's earnings. Sub-agency volume also rolls up toward the parent agency's monthly tier.

Host Recruitment & Consent
Hosts join an agency only by their own free consent. An agency invites a host; the host must explicitly accept the invitation from within the Fuvio app. No host may be added to, or moved into, an agency without that host's acceptance. Recruitment based on coercion, deception, or false promises is strictly prohibited and may void this partnership.

Host Transfer Policy
A host who wishes to move from one agency to another must submit a transfer request. The host's current agency must approve the transfer, and a cooldown period applies before the move takes effect. This policy protects all parties from host-poaching, preserves team stability, and ensures every transfer is mutually acknowledged. Fuvio may mediate transfer disputes and reserves the right to act in the host's best interest.

Conduct & Discipline
An agency may warn, temporarily suspend, or remove a host from the agency for breaches of this Agreement or Fuvio's policies. Removing a host affects only that host's membership in the agency — the host retains their global Fuvio account and may continue solo or join another agency. Permanent account suspension and global bans are the sole right of Fuvio. An agency may escalate a serious violation to Fuvio for review, but may never globally ban a user itself.

Rules & Regulations
The Agency and every host in its network must:
- Comply with all Fuvio Terms of Service, Privacy Policy, and Community Guidelines.
- Follow all content & community standards — no nudity, sexual, violent, hateful, or illegal content.
- No fraudulent or fake gifting, self-gifting, gift round-tripping, or money laundering of any kind.
- No fake, bot, or duplicate accounts to inflate volume or earnings.
- Treat all users with respect — no harassment, threats, scams, or abusive behavior.
- Comply with all applicable local laws and age requirements — all hosts and agency staff must be 18+.
- Provide accurate identity / KYC information for verification and payout.
- Protect user privacy and personal data; never misuse or share it.
- Honour every published Fuvio platform policy and operational rule.
Breach of any of the above may result in withheld payouts, removal of the agency, and forfeiture of all bonuses.

Payments & Withdrawal
Host and agency earnings are credited as Vios and may be withdrawn in accordance with Fuvio's published withdrawal terms, schedules, and minimum thresholds. Fuvio may review, delay, or withhold any payout connected to fraud, fake gifting, chargebacks, or a breach of this Agreement, pending investigation. All rates and thresholds are set by Fuvio and may be updated with reasonable notice.

Compliance & Records
Fuvio maintains records of agency and host activity for compliance, fraud prevention, and fair dispute resolution. These records exist to protect the host, the agency, and the Platform alike, and to resolve any disagreement transparently and impartially. Fuvio handles all such records in line with its Privacy Policy and applicable law.

Term & Termination
This Agreement remains in effect until terminated by either party. Either the Agency or Fuvio may end the partnership with notice; Fuvio may suspend or terminate immediately for fraud, illegal activity, or serious policy breach. On termination, the agency relationship ends and the agency's bonus entitlements cease — but hosts keep their individual Fuvio accounts and earnings and may continue solo or join another agency. Outstanding, legitimately earned balances are settled per the standard withdrawal terms, subject to any fraud review.

Acceptance
By ticking “I have read and agree” and typing your full legal name below, you confirm that you are the owner of the stated Fuvio ID, that you have read and understood this entire Agreement, and that you accept it on behalf of your agency. Your acceptance is recorded with a timestamp as a binding electronic signature.
